Ambassador Programme Agreement
This Agreement is entered into between Gopuff ('the Company') and the individual named in the acceptance email ('the Ambassador'). By accepting your place in the Student Ambassador Programme, you agree to be bound by these Terms and Conditions.
1. The Programme
The Student Ambassador Programme ('the Programme') is operated by Gopuff to grow awareness and usage of its platform among students in the United Kingdom. Ambassadors are independent advocates — not employees, agents or contractors of the Company — and this Agreement does not create any employment or agency relationship.
2. Eligibility
You must be currently enrolled as a student at a UK university or higher education institution.
You must be 18 years of age or older.
You must have an active account on the Company's platform.
You must not be an employee or immediate family member of an employee of the Company.
Continued eligibility requires maintaining active student status. You must notify the Company if your student status changes.
3. Rewards
3.1 Ambassador Credit
For each Successful Referral, you will receive a total of £20 in credit, comprising: (a) £15 referral credit, paid in accordance with the Company's standard referral terms; and (b) £5 ambassador bonus credit ('Ambassador Credit'), paid as GoCash on a monthly basis and subject to the monthly cap set out in clause 3.3.
A 'Successful Referral' means a new user who: (a) has not previously held an account with the Company; (b) registers using your unique referral link; and (c) places their first order.
This Agreement governs Ambassador Credit and milestone bonuses only. The £15 standard referral credit is governed by the Company's standard referral terms.
3.2 Milestone Bonuses
Additional Ambassador Credit bonuses are available upon reaching the following referral milestones within a single calendar month:
Tier 1: £20 bonus Ambassador Credit upon generating 5 Successful Referrals in a calendar month.
Tier 2 (Gold Ambassador): £50 bonus Ambassador Credit upon generating 15 Successful Referrals in a calendar month.
Milestone bonuses are awarded at the Company's discretion, subject to verification, and paid as GoCash on a monthly basis. Only one milestone bonus per tier per month will be awarded.
3.3 Monthly Cap
Total Ambassador Credit awards (ambassador bonus credits and milestone bonuses combined) are capped at £145 per ambassador per calendar month. Ambassador Credit earned above this cap in any month will not be carried forward. This cap does not apply to the £15 standard referral credit, which is governed by the Company's standard referral terms.
3.4 Nature of Ambassador Credit
Ambassador Credit (including milestone bonuses) is paid as GoCash and: (a) has no cash value and cannot be exchanged for cash or transferred to another user; (b) can only be used for purchases on the Company's platform; (c) expires 6 months from the date of award if unused; (d) is not refundable; and (e) is subject to the Company's standard platform Terms of Service.
4. Your Obligations as Ambassador
4.1 Referral Activity
You will make reasonable efforts to share your referral link with people who are genuinely likely to benefit from the Company's platform.
You will only share your referral link with real individuals. Any automated, bulk, or fraudulent referral activity is strictly prohibited.
You will not create fake accounts or refer yourself or existing users using alternative contact details.
4.2 Advertising Disclosure — MANDATORY
This clause is non-negotiable and reflects your legal obligations under the UK Advertising Standards Authority (ASA) CAP Code.
Any social media post, story, video, message or other content that promotes the Company's platform and includes your referral link, or for which you receive any benefit (including Credit), must be clearly labelled as paid advertising.
You must include '#ad' or 'Advertisement' prominently at the beginning of any such content. Placing disclosure at the end of a caption or in a location where it is likely to be hidden does not comply.
This requirement applies to all platforms including Instagram, TikTok, YouTube, Xiaohongshu (RedNote), WeChat, WhatsApp broadcast messages and any other public or semi-public channel.
Failure to comply with disclosure requirements may result in removal from the Programme and may expose you to regulatory action by the ASA.
4.3 Brand Standards
You will represent the Company honestly and accurately. You will not make claims about the platform that are false or misleading.
You will use only content and assets provided or approved by the Company, or clearly distinguish your personal opinion from official Company communications.
You will not make negative, disparaging or reputationally damaging statements about the Company, its competitors, or its staff.
4.4 Data Privacy
You will not collect, store or share personal data about individuals you refer, other than directing them to the Company's registration page. You must comply with all applicable data protection laws.
5. Fraud and Misuse
The Company takes referral fraud seriously. The following activities will result in immediate removal from the Programme, forfeiture of all accrued Credit, and potential legal action:
Creating or using fake accounts to generate referrals.
Paying, incentivising or coercing individuals to register without genuine intent to use the platform.
Circumventing the monthly Credit cap through use of multiple accounts.
Any activity that artificially inflates referral metrics.
The Company reserves the right to withhold Credit pending investigation of suspected fraud and to recover Credit already awarded where fraud is subsequently discovered.
6. Removal from the Programme
The Company may remove an Ambassador from the Programme at any time by written notice (including email) for any reason, including but not limited to:
Breach of these Terms and Conditions.
Failure to meet the minimum activity threshold of 2 Successful Referrals per calendar month for two consecutive months.
Loss of student status.
Conduct that the Company reasonably considers to be damaging to its reputation.
Upon removal, all accrued but unused Credit will be forfeited unless removal is due solely to graduation or loss of student status through no fault of the Ambassador, in which case existing Credit may be used for up to 30 days following removal.
7. Intellectual Property
Any content you create in your capacity as an ambassador that features the Company's brand, logo, or platform ('Ambassador Content') may be shared by the Company on its own channels with your prior consent. You retain ownership of Ambassador Content but grant the Company a non-exclusive, royalty-free licence to use, share and adapt it for marketing purposes with attribution.
8. Limitation of Liability
The Company's total liability to you under or in connection with this Agreement shall not exceed the total value of Credit awarded to you in the three months prior to the relevant claim. Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
9. Changes to the Programme
The Company reserves the right to modify the Programme, including reward rates, eligibility criteria and terms, with 30 days' written notice. Continued participation after notice constitutes acceptance of the revised terms. Material changes (including significant reductions in reward rates) will be communicated directly by email.
10. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties in relation to the Programme and supersedes all prior discussions, representations and agreements. Nothing in this Agreement affects your statutory rights as a consumer.
