Ambassador Programme Agreement

This Agreement is entered into between Gopuff (“the Company”) and the individual named in the acceptance email (“the Ambassador”). By accepting your place in the Ambassador Programme, you agree to be bound by these Terms and Conditions.

1. The Programme

The Ambassador Programme (“the Programme”) is operated by the Company to grow awareness and usage of its platform in the United Kingdom. Ambassadors are independent advocates — not employees, agents or contractors of the Company — and this Agreement does not create any employment or agency relationship.

2. Eligibility

To participate in the Programme, you must:

- Be 18 years of age or older

- Have an active account on the Company’s platform

- Not be an employee or immediate family member of an employee of the Company

- The Programme is invite-only. Continued participation is subject to ongoing eligibility as determined by the Company. - - The Company reserves the right to revoke eligibility at any time.

3. Rewards

3.1 Ambassador Credit

For each Successful Referral, you will receive a total of £20 in credit, comprising:

 (a) £15 referral credit, paid in accordance with the Company’s standard referral terms; and

 (b) £5 ambassador bonus credit (“Ambassador Credit”), paid as GoCash on a monthly basis and subject to the monthly cap set out in clause 3.3.

A “Successful Referral” means a new user who:

 (a) has not previously held an account with the Company;

 (b) registers using your unique referral link; and

 (c) places their first order.

This Agreement governs Ambassador Credit and milestone bonuses only. The £15 standard referral credit is governed by the Company’s standard referral terms.

3.2 Milestone Bonuses

Additional Ambassador Credit bonuses are available upon reaching the following referral milestones within a single calendar month:

Tier 1: £20 bonus Ambassador Credit upon generating 5 Successful Referrals

Tier 2 (Gold Ambassador): £50 bonus Ambassador Credit upon generating 15 Successful Referrals

Milestone bonuses are awarded at the Company’s discretion, subject to verification, and paid as GoCash on a monthly basis. Only one bonus per tier per month will be awarded.

3.3 Monthly Cap

Total Ambassador Credit awards (ambassador bonus credits and milestone bonuses combined) are capped at £145 per ambassador per calendar month.

Ambassador Credit earned above this cap in any month will not be carried forward. This cap does not apply to the £15 standard referral credit, which is governed by the Company’s standard referral terms.

3.4 Nature of Ambassador Credit

Ambassador Credit (including milestone bonuses) is paid as GoCash and:

- Has no cash value and cannot be exchanged for cash or transferred

- Can only be used for purchases on the Company’s platform

- Expires 6 months from the date of award if unused

- Is not refundable

- Is subject to the Company’s standard platform Terms of Service

4. Your Obligations as an Ambassador

4.1 Referral Activity

You agree to:

Share your referral link with individuals who are genuinely likely to benefit from the platform

Only refer real individuals

Avoid any automated, bulk, or misleading promotional activity

You must not:

Create fake accounts

Refer yourself or existing users using alternative details

4.2 Advertising Disclosure — MANDATORY

This clause is non-negotiable and reflects your legal obligations under the UK Advertising Standards Authority (ASA) CAP Code.

Any content that promotes the Company’s platform and includes your referral link, or for which you receive any benefit (including Credit), must be clearly labelled as advertising.

You must include “#ad” or “Advertisement” prominently at the beginning

Disclosure must not be hidden or placed at the end

This applies across all platforms, including but not limited to Instagram, TikTok, YouTube, WhatsApp, and any public or semi-public channel.

Failure to comply may result in removal from the Programme and potential regulatory action.

4.3 Brand Standards

You agree to:

- Represent the Company honestly and accurately

- Avoid false or misleading claims

- Clearly distinguish personal opinions from official Company messaging

You must not:

- Make negative or damaging statements about the Company, competitors, or staff

4.4 Data Privacy

You must not collect, store, or share personal data of referred individuals. All referrals must be directed to the Company’s official platform. You must comply with applicable data protection laws.

5. Fraud and Misuse

The following will result in immediate removal, forfeiture of Credit, and potential legal action:

- Creating or using fake accounts

- Incentivising or coercing sign-ups without genuine intent

- Circumventing limits through multiple accounts

- Artificially inflating referral activity

The Company may withhold or recover Credit where fraud is suspected or confirmed.

6. Removal from the Programme

The Company may remove an Ambassador at any time by written notice (including email), including for:

- Breach of these Terms

- Failure to meet a minimum activity threshold of 2 Successful Referrals per calendar month for two consecutive months

- Conduct deemed harmful to the Company’s reputation

- Upon removal, all unused Credit will be forfeited unless otherwise stated by the Company.

7. Intellectual Property

Content created by you featuring the Company’s brand (“Ambassador Content”) may be used by the Company with your consent.

You retain ownership but grant the Company a non-exclusive, royalty-free licence to use, share, and adapt such content for marketing purposes with attribution.

8. Limitation of Liability

The Company’s total liability under this Agreement shall not exceed the total value of Credit awarded to you in the three months prior to the claim.

Nothing limits liability for death, personal injury, fraud, or fraudulent misrepresentation.

9. Changes to the Programme

The Company may modify the Programme, including rewards or eligibility, with 30 days’ notice.

Continued participation constitutes acceptance of updated terms.

10. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions.

Nothing affects your statutory consumer rights.
